These Terms and Conditions of Sale ("Terms") govern the purchase of products from Veriscent Ltd., ("the Company," "we," "us," or "our") via our website, third-party platforms (Shopify, Amazon, Facebook, Instagram, TikTok), or in-person at markets and stands. By placing an order, you agree to be bound by these Terms.

 

1. General Use and Acceptance of Orders

By accessing or purchasing any product from us, you agree to be bound by these Terms, our Privacy Policy, and our Shipping & Returns Policies. These documents constitute the entire agreement between you and Veriscent Ltd.

B. Product Availability

All products are offered subject to availability. We reserve the right to limit the quantities of any product we supply.

C. Order Acceptance

·       Online Orders: Placing an order constitutes an offer to buy. Acceptance of your order only occurs when we dispatch the order and send you a shipping confirmation email.

·       Market/Stand Sales: Acceptance occurs at the point of payment/exchange at the physical location.

We reserve the right to refuse or cancel any order for any reason, including but not limited to: product unavailability, errors in the description or price of the product, errors in your order, or suspicion of fraudulent activity.

 

2. Product Information and Quality Assurance

A. Fragrance Descriptions

Our products are perfumes and scented goods. While we strive for accuracy, the visual representation of colours (e.g., packaging) and the description of scents are subjective. We make every effort to ensure our descriptions are as accurate as possible, but we do not warrant that product descriptions or other content are error-free, complete, reliable, or current.

B. Allergy/Sensitivity Disclaimer

As our products contain fragrances and various chemical components, it is your responsibility to review the ingredient list (if provided) before use. We are not liable for any adverse reactions, allergies, or sensitivities resulting from the use of our products. If you have known sensitivities, please contact us prior to purchase.

 

3. Pricing and Payment

All prices are listed in GBP (£) and are subject to change without notice. The price charged will be the price displayed at the time you place your order, unless a manifest pricing error has occurred.

B. Payment Methods

We accept payment via methods supported by our respective sales platforms (e.g., Shopify checkout, Amazon Payments, etc.) and cash/card payment at in-person events.

 

4. Sales Channels Specifics

These Terms apply across all sales channels, but certain platform-specific rules may apply:

·       Market/Stand Sales: All sales conducted face-to-face are final, subject only to the terms outlined in our Returns Policy (e.g., for verified damage).

·       Third-Party Platforms (Amazon, TikTok, etc.): Your transaction is also subject to the terms and conditions set by that specific platform. In the event of a conflict, the platform’s rules may supersede these Terms for matters of payment processing and listing rules.

 

5. Intellectual Property

All content featured on our website, promotional materials, product names, packaging designs, and product formulations are the intellectual property of Veriscent Ltd., or are used with permission. You may not use this proprietary material without our express written consent.

 

6. Limitation of Liability

To the fullest extent permitted by UK law:

·       General Liability: Our liability for any claim arising out of or related to your purchase or use of our products shall not exceed the total amount paid by you for the product giving rise to the claim.

·       Indirect Damages: We are not liable for any indirect, incidental, special, or consequential damages whatsoever, including loss of profits, business interruption, or loss of data, even if advised of the possibility of such damages.

 

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. (This means all legal disputes will be handled by UK courts.)
